1. Introduction
1.1 These Terms and Conditions (“Terms”) govern the agreement between Intellect FS (“we,” “our,” or “us”) and any individual or organisation (“you” or “Delegate”) engaging with our Services or products. “Services” refers to all offerings provided by Intellect FS, including events (“Events”), as well as any current or future digital content, or related products.
1.2 These Terms will remain in full force and effect as long as you use the Services. We encourage you to read these Terms carefully. By accessing or using the Services, you acknowledge that you have read and agree to be bound by these Terms and the Privacy Policy, which is incorporated herein by reference. Being exposed to advertising is a condition of accessing the Services.
1.3 If you register on behalf of another individual, you are responsible for ensuring they are aware of these Terms and accept them. By agreeing to these Terms, you confirm that you have made them aware and that they accept these Terms.
1.4 Access to our Services, including our website, is provided on a temporary basis, and we reserve the right to withdraw or amend access without notice.
1.5 These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the English courts.
2. Eligibility
2.1 In order to use and access the Services, you must be 18 years or older and you must have the power to enter into a binding contract with us. You also represent that any information you submit to us or the Services is true, accurate, current, complete, and lawful.
2.2 You may not use or access the Services if we have previously suspended or removed you from the Services, or if your registration or your use of the Services is not in compliance with any and all applicable laws or these Terms. Also, you may not use the Services if your use would cause us to violate any applicable laws or regulations.
2.3 We operate two distinct registration rates for our Events: one for employees of financial institutions and one for non-financial institutions. The financial institution rate is available only to delegates employed by regulated financial organisations such as banks, building societies, insurance companies, asset managers, as well as regulators. We reserve the right to request proof of eligibility, including a valid work email or professional ID. By selecting the financial institution rate, you confirm that you meet the eligibility criteria.
3. Registration and Payment
3.1 To use our Services, including attending Events, you must complete the registration process and pay any applicable fees as specified.
3.2 Payment is made by bank transfer or by credit card (Visa, MasterCard or American Express) as part of the registration process. No registration is effective until payment has been received and processed successfully.
3.3 Payments must be made in full within 7 days of receiving the invoice unless otherwise agreed in writing. Failure to pay may result in denial of access to the Event or other Services. Admission to the Event is subject to full payment being received.
3.4 Registrations for Events or other Services are subject to acceptance by us. We reserve the right to refuse or cancel any registration or subscription at our discretion.
3.5 If a delegate registers under an incorrect rate and does not meet the eligibility criteria, the registration will only be valid once the rate difference has been paid in full. If the correct fee is not paid within 7 business days of notification, the registration will be cancelled and a refund will be issued minus a 10% administration fee.
3.6 All payments must be made in pounds sterling (GBP) unless otherwise stated.
3.7 Fees paid by Delegates cover, as appropriate, admission to the Event, all the Event sessions, lunch and networking breaks during the Event, and entrance to the evening networking drinks reception. All prices are subject to VAT where applicable.
3.8 An email confirmation of registration/acknowledgement of payment will be sent to each registrant upon receipt of payment. Delegates are asked to bring a copy of the confirmation.
4. Substitutions, Cancellations, and Refunds
4.1 Delegate registrations are non-transferable.
4.2 Cancellations must be made in writing. Refunds will only be granted for cancellations received no later than 30 days before the Event, less a 10 percent non-refundable administration fee. This fee also applies in cases where a refund is issued due to incorrect rate selection or delegate ineligibility. No refunds will be made for cancellations received within 30 days of the Event.
4.3 No-shows are non-refundable.
4.4 In the unlikely event that we cancel or postpone the Event, for any reason other than force majeure (see section 15) registration fees are refunded to registered participants. However, refunds are limited to the amount paid by the participants. We are not liable for any other loss or expenses incurred by you as a consequence of the cancellation.
5. Changes to Services
5.1 We reserve the right to modify the agenda, content, speakers, schedule or location of any Event or Service without prior notice where reasonably necessary.
5.2 No refunds or partial refunds will be provided in the event of such changes.
6. Prohibited Uses
6.1 You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, content, or other material obtained from or made available on the Services.

Any violation of these Terms may result in the immediate termination of your account, use, or access to the Services.
7. Communicating With Us and Other Users
7.1 We may allow you to communicate with us or other users or participants of the Services, such as through e-mail, webinars and virtual conferences, chat forums, other forums, and/or other message or communication facilities. You agree to use the Communication Services only to post, send and receive messages and material that are consistent with these Terms. Specifically, you agree that you will not:

8.1 You agree to conduct yourself professionally and respectfully while using our Services.
8.2 We reserve the right to refuse access or remove any Delegate who, at our absolute sole discretion, is disruptive, poses a security risk, or violates these Terms.
8.3 You must comply with all instructions from our staff, the venue’s personnel, and platform moderators, including health and safety requirements.
9. International Use
9.1 We operate Services from the United Kingdom, which means that if you choose to access our Services from a location outside the United Kingdom, you acknowledge and consent to the collection, transmission, use, storage, and processing of your personal information in the United Kingdom.
9.2 You agree you are solely responsible for complying with all local laws, regulations, and rules in the jurisdiction in which you reside or access the Services to the extent such laws are applicable.

11. Intellectual Property
11.1 We own or license all intellectual property right to the materials, presentations, and content provided during our Services. This includes but is not limited to slides, recordings, handouts, and website content. Such materials may also include intellectual property owned by Intellect FS or our speakers and are protected by copyright laws.
11.2 You are permitted to download and print extracts for personal use, provided no modifications are made and all copyright notices remain intact.
11.3 By attending any Service, you agree not to record, transmit, reproduce, or distribute its content without our prior written permission.
12. Photography and Recording
12.1 By attending the Event you are giving us and our partners permission to use photographs and/or footage of you at the event, for marketing and promotional purposes, including on social media and editorial use. You grant us the right to use your name, image, and likeness in any media worldwide without compensation. If you are booking on behalf of someone else, you confirm that you have gained their consent for this aspect of the Terms. If you wish to opt out, please contact us at info@intellectfs.com.
12.2 You waive any claims relating to the use of these recordings and agree that all rights to such recordings belong to us.
13. Your Content
13.1 Unless you have a specific agreement with us stating otherwise, Intellect FS does not claim ownership of the content or materials you provide to us or post, upload, input, or submit to the Services.
13.2 However, by posting, uploading, inputting, providing, or submitting (“Posting”) your Submission, you grant us and our affiliated companies and necessary sublicensees a worldwide, royalty-free, irrevocable, fully paid-up, transferable license to copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, modify, create derivative works from, and otherwise freely use, the Submission, including, without limitation, to promote, market and provision the Services and to contact you regarding the Services.
13.3 You are solely responsible for your Submission(s) and the consequences of Posting, transmitting or distributing them.
13.4 We have no obligation to pay you for the use of your Submission under these Terms. We have no obligation to post or use any Submission you may provide, and we may remove any Submission at any time in its sole discretion.
13.5 By Posting a Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in these Terms of Use including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submission, and you have the rights necessary to grant the licenses and sublicenses described in these Terms.
14. Limitation of Liability
14.1 To the fullest extent permitted by law, we exclude all liability for any loss, injury, or damage to persons or property, or any other loss arising from your use of our Services, including Events, except for damage caused by our gross negligence or wilful misconduct.
14.2 We shall not be liable for indirect or consequential losses, including but not limited to loss of profits, business opportunities, or goodwill, whether arising from participation in an Event or use of other Services.
14.3 Our total liability to you under these Terms or in connection with any Event or Service is limited to the total fees paid by you for the relevant Event or Service.
15. Force Majeure
15.1 We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, fire, flood, riot, earthquake, civil commotion, lock-out, labour disturbances, explosions, sabotage, accident, pandemics, government restrictions or any other causes or causalities beyond the control of Intellect FS (“Force Majeure Event”).
15.2 In the event of our Services or Events being cancelled, postponed or relocated due to a Force Majeure Event, no refund will be made. Participants to the Services waive all claims for damages in this case. However, we will use reasonable efforts to reschedule the Event or offer alternative arrangements.
16. Health and Safety
16.1 You are responsible for assessing whether you are fit to participate in any activities at the Event or other Services. If you have concerns about your fitness or health, you should consult a medical professional prior to participating.
16.2 For Events, first aid facilities will be available at the venue. Delegates are responsible for notifying staff immediately if they experience any health concerns or require medical assistance.
16.3 We will not be liable for any injury or harm caused by your participation in activities at the Event or other Services, except where such liability cannot be excluded by law.
17. Accessibility
17.1 Delegates requiring accommodations for accessibility should notify us in writing at least 14 days before the Event to ensure appropriate arrangements can be made.
18. Third-party Websites
18.1 The Services may include links or references to third-party websites, products, or services solely as a convenience to you (“Third-Party Sites”).
18.2 The inclusion of any link or references does not imply our endorsement of any such Third-Party Site. These links or references may let you leave the Website and visit a Third-Party Site. Third-Party Sites are not under our control, and we are not responsible for the contents, information, materials, products, or services of any Third-Party Site, or any link contained in a Third-Party Site, or any changes or updates to such Third-Party Sites.
18.3 Your access to and use of Third-Party Sites, including the information, materials, products, or services on or available through those Third-Party Sites, is solely at your own risk and may be governed by different terms of use and privacy policies.
19. Third-Party Services and Promotions
19.1 We use third-party service providers (“Third-Party Service Providers”) to help us provide the Services to you. For example, when you register for, participate in, or access an Event or Service; download a whitepaper or other Content on the Services; sign up for or purchase a subscription; or interact with our email campaigns, you may be required to provide information to a Third-Party Service Provider.
19.2 You understand and acknowledge that the information you provide to a Third-Party Service Provider is governed by that Third-Party Service Provider’s privacy policy and terms of use, and we are not responsible for the products or services that the Third-Party Service Provider approaches you with, or provides to you.
19.3 We may, in our sole discretion, for any or no reason and without penalty or notice to you, suspend or terminate our relationship with any Third-Party Service Provider.
20. Indemnification
20.1 You agree, to the extent permissible under your jurisdiction’s laws, to indemnify, defend, and hold harmless Intellect FS and its trading names, sub-companies, affiliated companies, contractors, officers, directors, employees, agents and its third-party suppliers, licensors, and partners (the Intellect FS’s Parties”) from and against all losses, damages, liabilities, demands, judgments, settlements, costs and expenses of any kind (including legal fees and expenses), from any claim or demand relating to or arising out of your:
20.2 Intellect FS reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of these claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding when we become aware of it.
21. Disclaimer
21.1 Our Services are provided with the understanding that you are solely responsible for your use of the Services and acknowledge that any reliance upon the Services are entirely at your sole option and risk.
21.2 The Services are provided “as is”, “without warranty of any kind”, either express or implied, including, without limitation, implied warranties of merchantability and fitness for a particular purpose.
21.3 Intellect FS makes no warranties, expressed or implied, as to the ownership accuracy, or adequacy of the services, that the services will meet your requirements or expectations or be to your liking.
21.4 Intellect FS will have no liability or responsibility for any information published on Third-Party-Sites or provided by Third Parties.
21.5 Intellect FS will not be liable for any indirect, incidental, consequential, or punitive damages or losses, for lost revenues or profits, whether or not advised of the possibility of such.
21.6 Intellect FS does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Services or Events by any user, information provider, sponsor, presenter, or any other person or entity. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information is at your sole risk.
22. General
22.1 We may update these Terms from time to time. If changes are made, we will notify you by updating the effective date at the top of this document. We encourage you to review these Terms periodically. If amendments are made after your registration but prior to the Event, we will notify you via email, and you may be required to agree to the updated Terms before attending the Event.
22.2 No person other than you and us has the right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
22.3 Materials on our website are provided “as is” without warranties of any kind. While we strive for accuracy, we do not guarantee the completeness or timeliness of content.
22.4 Monitoring and tracking of website visits may be conducted for security or analytical purposes. For more information on how your data is used, refer to our General Privacy Policy here.
